1. Definitions

"Company", "we", "us" or "our" means Arnav Pharmaceuticals India Private Limited, operating from Chinchwad and Sadashiv Peth, Pune, Maharashtra. "Counterparty", "you" or "your" means any retailer, chemist, hospital, pharmacy, principal or other person or entity engaging with the Company. "Goods" means pharmaceutical and healthcare products supplied by the Company.

2. Trade Eligibility

Goods are supplied on a business-to-business basis only. Trade accounts and orders are open to entities holding a valid drug licence and other applicable statutory registrations. By placing an order, the counterparty confirms that such registrations are current and that the person placing the order is authorised to do so on the counterparty's behalf.

3. Orders & Acceptance

An order placed by phone, WhatsApp, email or any other accepted channel is an offer to purchase. Our acceptance occurs upon confirmation or dispatch of the order. Until acceptance, we may decline or partially fulfil an order, including where stock availability or drug-licence verification is not satisfactory.

4. Pricing & Taxes

Prices are those confirmed at the time of order acceptance and are exclusive of applicable GST unless stated otherwise. GST is charged on every invoice we issue. Prices may change for future orders without prior notice, in line with principal-company pricing and prevailing market conditions.

5. Payment

Payment is due on the terms communicated at the time of order acceptance, whether in advance, on delivery, or on agreed credit terms. Amounts outstanding beyond agreed terms may result in suspension of further supply and recovery action, and may attract interest where notified in advance.

6. Delivery, Title & Risk

We aim for timely delivery, but delivery timelines communicated to you are estimates and not guarantees. Risk in the Goods passes to the counterparty (or its nominated carrier) on delivery; title passes only on receipt of payment in full. Counterparties should inspect Goods on delivery and record any shortage or visible damage on the delivery document.

7. Handling & Resale of Goods

The counterparty undertakes to store, handle, dispense and resell the Goods in compliance with the Drugs and Cosmetics Act and other applicable rules, to preserve cold-chain conditions where required by the manufacturer, and not to tamper with packaging, labelling or batch information.

8. Product Authenticity & Principals

We source Goods through authorised channels and supply them in their original manufacturer packaging. Product specifications, indications and warranties are those of the respective manufacturer; the Company acts as a distributor and stockist and does not manufacture the Goods it supplies.

9. Limitation of Liability

To the extent permitted by law, our liability in connection with any order is limited to the invoice value of that order. We are not liable for indirect or consequential loss, or for matters attributable to the manufacturer, the counterparty's own handling of Goods, or events beyond our reasonable control.

10. Governing Law & Jurisdiction

These terms are governed by the laws of India. The courts at Pune, Maharashtra have exclusive jurisdiction over any dispute, claim or proceeding arising out of or in connection with these terms or any transaction governed by them.

1. General Position

As a pharmaceutical distributor, Arnav Pharmaceuticals India Pvt Ltd does not accept returns of correctly supplied Goods on grounds of changed buying preference or over-ordering. Returns are limited to the specific situations described below and are always subject to verification.

2. Eligible Returns

A return may be considered where:

  • Goods were supplied in error against the confirmed order;
  • Goods were damaged in transit, and the damage was recorded on the delivery document;
  • Goods were received with a manufacturing defect; or
  • A product recall has been initiated by the manufacturer or a competent authority.

3. Return Window

Claims for goods supplied in error or damaged in transit should be raised promptly with our trade desk, supported by photographs and the original delivery document. Suspected manufacturing defects should be reported as soon as they are discovered, and product recalls follow the timelines stated in the relevant recall notice.

4. Conditions for Acceptance

Goods presented for return must be in their original manufacturer packaging, with intact batch and expiry details, not tampered with, decanted or relabelled, and accompanied by the relevant invoice reference. A return is accepted only after we issue a return authorisation.

5. Near-Expiry & Expiry Returns

Any near-expiry or expiry return is handled in accordance with the policy of the relevant manufacturer or principal and applicable regulation. Our trade desk will guide you on the manufacturer's expiry-return window and procedure where such a facility exists.

6. Refund & Credit Timeline

Refunds on approved returns are issued as credit to your trade account — not as a cash refund — which can be adjusted against future invoices or orders. Once a return is authorised and the returned Goods are received and verified, the credit is processed within a reasonable time confirmed by our trade desk. Any GST adjustment is made through a credit note compliant with applicable tax rules.

7. Disputes

Any dispute regarding a return or credit should be raised in writing with our trade desk at arnavpvtltd9@gmail.com. Unresolved disputes are subject to the exclusive jurisdiction of the courts at Pune, Maharashtra, and governed by the laws of India.

1. Service Area

Arnav Pharmaceuticals delivers to verified trade addresses across Pimpri Chinchwad and the wider Pune region, where the counterparty holds a valid drug licence and we are in a position to serve. Serviceability for a particular location is confirmed at the time of order acceptance.

2. Order Processing & Dispatch

After an order is confirmed, it is checked and prepared for dispatch from our Chinchwad or Sadashiv Peth office as soon as possible. Processing time may vary based on stock availability, order size, and drug-licence verification for new accounts.

Our specific same-day dispatch cut-off time will be confirmed here once finalised. In the meantime, please ask our trade desk for the current cut-off applicable to your order.

3. Delivery Timeframe

Orders are delivered through our own delivery arrangements or trusted transport partners. Acceptance without notation is treated as confirmation of correct delivery for the purposes of our Return & Refund Policy.

6. Charges

Any delivery or freight charges, where applicable, are advised at the time of order acceptance and itemised on the tax invoice. Any minimum-order conditions are communicated through our trade desk.

7. Failed or Refused Delivery

Where a delivery cannot be completed because the consignee is unavailable, refuses receipt, or the address is unserviceable, the Goods are returned to us and re-delivery may attract additional charges. Perishable or short-dated Goods are handled in accordance with applicable regulation.
